Vibe Agreement

Please read this AVON VIBE Agreement (the "VIBE Agreement") carefully. Your use of the VIBE Reporting System (as defined below) constitutes your agreement to this VIBE Agreement. Each capitalized term used in the VIBE Agreement that is not defined herein has the meaning given to such term in the Ambassador Policies and Procedures, located here (the "Ambassador Agreement") (incorporated herein by this reference), or our Terms and Conditions of Use, located here (the "Terms and Conditions of Use"), or Privacy Statement, located here (the "Privacy Statement"). All provisions of this VIBE Agreement that may reasonably be interpreted or construed as surviving the termination of this VIBE Agreement shall survive such termination. In the event of any conflict between this VIBE Agreement and any of the Terms and Conditions of Use, the Security and Privacy Statement, the Ambassador Agreement, or any other policies, procedures or guidelines, the Terms and Conditions of Use, the Security and Privacy Statement, the Ambassador Agreement, or the relevant policy, procedure or guidelines (as applicable) will govern.

New Avon LLC (referred to herein as "AVON", "we", "us" and "our"), reserves the right to change this VIBE Agreement, in whole or in part, from time to time in our sole discretion, and to provide you notice of such change by any reasonable means, including without limitation posting the revised draft of this VIBE Agreement to the VIBE Reporting System or on youravon.com. You can determine when this VIBE Agreement was last revised by referring to the "LAST UPDATED" legend at the top of this VIBE Agreement. Your continued use of the VIBE Reporting System or re-acceptance of this VIBE Agreement after changes to this VIBE Agreement have been posted will mean that you accept those changes.

Changes are periodically made to the VIBE Reporting System and to the information and materials made available through the VIBE Reporting System. AVON may make any changes in or discontinue all or any part of the VIBE Reporting System at any time without notice; and/or offer opportunities to some or all users of the VIBE Reporting System. Additionally, access to the VIBE Reporting System is subject to AVON's approval, which AVON may grant or deny in its sole discretion.

1. The VIBE Reporting System.

AVON offers Avon Independent Sales Ambassadors (“Ambassadors”) who are participating in the Avon Leadership program (“Leadership Ambassadors”) the opportunity to use AVON's online reporting system and software for managing downline Ambassadors (the "VIBE Reporting System").

In order to use the VIBE Reporting System, you must be an active Leadership Ambassador in good standing with AVON and your Leadership status must not be suspended. If your status as a Leadership Ambassador or as an Ambassador is terminated for any reason, you will no longer have access to the VIBE Reporting System or any information (including without limitation information on your downline Ambassadors) stored through or processed in connection with the VIBE Reporting System.

2. Your Use of the VIBE Reporting System.

The VIBE Reporting System is part of the AVON WEBSITES (as defined in the Terms and Conditions of Use) and, as such, all provisions of the Terms and Conditions of Use govern your use of the VIBE Reporting System. Additionally, your use of the VIBE Reporting System is subject to all other AVON policies, terms and conditions, including without limitation: (a) the Privacy Statement; (b) the AVON Independent Sales Ambassador Contract (as defined in the Terms and Conditions of Use); (c) the Ambassador Agreement; and (d) the AVON Advertising and Promotions Guidelines (collectively “Agreements”).

You agree to comply with the following terms and conditions in your use of the VIBE Reporting System:

You agree to ensure that your activities in connection with the VIBE Reporting System comply with all applicable laws, rules and regulations. You represent and warrant that any information you provide in connection with your use of the VIBE Reporting System is and will remain true, accurate and complete.
You agree to use the VIBE Reporting System solely to conduct your Avon business. You may not reproduce, distribute, adapt, modify, transmit or perform the VIBE Reporting System or any materials generated by or using the VIBE Reporting System, in whole or in part, or use the VIBE Reporting System or such materials in any manner or for any purpose other than as expressly set forth herein. You may not rent, lease, license, assign, sell or otherwise transfer the VIBE Reporting System, such materials, or any rights in any of the foregoing to any other person or entity without the prior express written permission of AVON.
You agree to undertake all online and offline promotion of your Avon business in a manner consistent with this VIBE Agreement, the Ambassador Agreement, the Advertising and Promotion Guidelines, and any other agreements between you and AVON (including without limitation the Terms and Conditions of Use, the Security and Privacy Statement and the Avon Independent Sales Ambassador Contract) and any other Avon policies and procedures.
You agree (a) to keep all personally identifiable and other information regarding your downline Ambassadors strictly confidential; (b) not to use any such information for any purpose other than managing your Avon business and communicating with such Ambassadors for such purpose; (c) not to disclose any such information to any third party; and (d) to treat all such information in accordance with all applicable laws, rules and regulations.

3. Terminating Access to the VIBE Reporting System.

Avon may terminate your access to the VIBE Reporting System at any time and for any or no reason. If your Avon account is terminated or if you are removed from Leadership for any reason, you will lose access to the VIBE Reporting System immediately.

4. Compliance.

We reserve the right to take steps that we believe are necessary or appropriate to enforce and/or verify compliance with this VIBE Agreement, the Ambassador Agreement, the Advertising and Promotion Guidelines, and any other agreements between you and AVON (including without limitation the Terms and Conditions of Use, the Security and Privacy Statement and the Avon Independent Sales Ambassador Contract) and any other Avon policies and procedures, and to sanction Ambassadors who violate this VIBE Agreement or any such other policies, procedures, agreements, guidelines, terms or conditions as we deem necessary in our sole discretion. Without limiting the foregoing or any other provision of this Agreement, in the event of your violation of this VIBE Agreement or your misuse or abuse of the VIBE Reporting System or your violation of any of the aforesaid policies, procedure, agreements, guidelines, terms or conditions, AVON reserves the right to terminate your access to the VIBE Reporting System and to remove you from the Leadership program.
